ABL Texcell Diagnostics Announces Termination of Vela Diagnostics Letter of Intent

The proposed acquisition in Singapore and the United States will not proceed

WOIPPY, France, October 20, 2026--Regulatory News:

ABL Texcell Diagnostics (Euronext Paris: ABLD – ISIN: FR001400AHX6) ("Company") an international life sciences company specializing in molecular diagnostics, healthcare software, clinical genomics and services supporting clinical research and biopharmaceutical development, announces the termination of the Letter of Intent relating to the proposed acquisition of Vela Diagnostics' activities in Singapore and the United States, announced on September 21, 2026.

The Letter of Intent entered between Vela Diagnostics Holding Pte. Ltd., ABL Texcell Diagnostics and Advanced Biological Laboratories S.A. regarding the proposed acquisition of 100% of the share capital of Vela Operations Singapore Pte. Ltd. and Vela Diagnostics USA Inc. has been terminated.

Consequently, the transaction contemplated under the Letter of Intent will not proceed.

The Company continues to implement its development strategy across molecular diagnostics, clinical genomics, healthcare software, viral safety and specialized services supporting clinical research and biopharmaceutical development.
