The interim financial statements, reviewed by Morison LC PLT, and management’s discussion and analysis are furnished to the SEC on Form 6-K today. Results exclude the Company’s predecessor, Relativity Holdings Inc., and business combination costs. Comparisons are with the six months ended May 31, 2025. 1H FY2026 Highlights Revenue of USD 1,142,598, up 4.7% (up 9.8% in yen terms, from JPY 163.7 million to JPY 179.8 million). OEM/ODM revenue (83.4% of total) up 6.5% and Value Village e-commerce revenue up 12.2%, both in yen terms. Gross margin of 72.6% (1H FY2025: 79.7%), reflecting a smaller inventory build, new imported purchases and higher manufacturing overhead. Administrative expenses down 30.1% to USD 741,691, mainly as approximately USD 208,000 of listing-related fees expensed in 1H FY2025 did not recur. Profit after tax of USD 90,251 (1H FY2025: loss of USD 206,817). Largest customer’s share of revenue fell to 34.8% from 51.7% as new OEM/ODM, export and Value Athlete customers were added. Management Commentary “This is the first set of results we have reported since completing our Nasdaq listing in July. Until now, investors have had little visibility into who we are as a management team and what our business actually does. We chose to report our first half now, and will continue to report every six months, so that shareholders can judge us on facts: revenue grew almost 10% in yen terms, we returned to profit, and our customer base is broader than a year ago. We are not satisfied with our gross margin or cash position, and improving both is our priority for the second half,” said Tomoki Nagano, Chairman and Chief Executive Officer. “Each of the initiatives we announced since July - our U.S. collaboration with INVITRX, our Indonesian product partnership, the GENREVER Clinic in Jakarta and our IN01 representation - is progressing on schedule. Our target is to have them operational by the end of calendar 2026, with revenue contribution beginning in fiscal 2027.” Financial Position and Liquidity At May 31, 2026, total assets were USD 4,080,414, total liabilities USD 1,994,227 and total equity USD 2,086,187 (November 30, 2025: total assets USD 2,994,989, total liabilities USD 952,394 and total equity USD 2,042,595). The increases from November 30, 2025 were driven mainly by other receivables and prepayments, including advances to related parties, and by other payables, including borrowings from directors and related parties. Cash and bank balances were USD 25,565 (November 30, 2025: USD 124,764). The Operating Group’s liquidity depends on collecting receivables, including from related parties, continued support from directors and related parties, and obtaining additional financing as needed. The directors have concluded that the Operating Group has adequate resources to continue as a going concern for at least twelve months. See “Liquidity and Capital Resources” in the Form 6-K. Overseas Initiatives The following initiatives, announced between July and September 2026, did not contribute to 1H FY2026 revenue. All are targeted to be operational within calendar 2026, with revenue contribution expected from fiscal 2027, subject to definitive agreements, regulatory approvals and partner performance. - 4 Ways to Take Action on World Restart a Heart DayDALLAS - October 16, 2026 - When cardiac arrest happens, the best chance for survival often rests with the people nearby. Yet 2 in 3 people still mistakenly believe only those with special training should perform CPR, a misconception that costs lives.[1] Today, on World Restart a Heart Day, the American Heart Association's Nation of Lifesavers™ initiative is challenging communities everywhere to make lifesaving action a social norm by helping more people realize they have the power and ability to step in during a cardiac emergency. You don't need to be a medical professional; you just need to be willing. If you see a teen or adult who has suddenly collapsed and is not breathing normally, call 911 and push hard and fast in the center of the chest until help arrives. Each year, more than 350,000 cardiac arrests occur outside of the hospital in the United States, and approximately 90% of people who experience these events do not survive.[2] Survival often depends on how quickly people nearby recognize the emergency, call 911, begin CPR and use an automated external defibrillator (AED)[3]. "Too many people hesitate during a cardiac emergency because they believe lifesaving action should be left to medical professionals," said Manesh R. Patel, M.D., FAHA, volunteer president of the American Heart Association, chief of cardiology and pharmacology at Duke University School of Medicine. "World Restart a Heart Day is a reminder that parents, neighbors, coworkers, friends and family members are often the first people on the scene. We want to create a culture where everyone has the best chance to survive because everyone is prepared - and confident - to step in and provide CPR.” The American Heart Association, a relentless force changing the future of health for everyone everywhere, is encouraging communities to join the Nation of Lifesavers on World Restart a Heart Day and create a culture where everyone has the best chance of survival. Learn CPR. Watch a short CPR demonstration video or take a CPR course to gain the skills and confidence to act during an emergency. CPR is not just a skill for medical professionals. Research shows that children as young as 9 can learn CPR, making it a valuable skill for the whole family[4] Share CPR stories. Stories from survivors, rescuers and families affected by sudden cardiac arrest can inspire others to learn CPR. The Nation of Lifesavers CPR Storytelling Platform showcases CPR stories and demonstrates the difference one person can make. Share your own CPR story and apply to be a part of the 2027 Nation of Lifesavers Class, a group of survivors and rescuers, committed to sharing their stories and raising awareness. Advocate for a Cardiac Emergency Response Plan (or CERP). Every workplace, school, sports facility and community organization should be prepared for a cardiac emergency. A CERP is a written and practiced site-specific plan that outlines exactly how an organization should respond during a cardiac emergency. CERPs help ensure staff and volunteers know their roles, understand how to activate emergency medical services, begin CPR and access an AED quickly. Make CPR part of your community’s culture by sharing resources and volunteering with friends, family and coworkers. Encouraging others to learn CPR and understand how to use an AED helps create communities where more people are ready to respond when needed. Each year World Restart a Heart Day reinforces the American Heart Association's vision of creating communities where lifesaving skills and preparedness are the norm. The long-term goal of the Nation of Lifesavers initiative is to ensure that in the face of a cardiac emergency, anyone, anywhere, is prepared and empowered to perform CPR.
- AgeReverse RESURGE Now Available to U.S. Consumers on AmazonBoca Raton, Florida Friday Oct 16, 2026 @ 5:00 AM Eastern — AgeReverse, a Canadian longevity company focused on healthy aging and cellular vitality, today announced that its flagship RESURGE formulation is now available to U.S. consumers on Amazon, marking another significant step in the company’s expansion into the American market. The Amazon launch follows a series of U.S. expansion initiatives for AgeReverse, including the company’s recent participation in the ECRM Vitamin, Weight Management & Sports Nutrition Session in Palm Beach Gardens, Florida. With RESURGE now available through one of the country’s largest online marketplaces, AgeReverse is expanding consumer access while continuing to introduce its broader science-first approach to healthy aging. “Making RESURGE available on Amazon is an important milestone for AgeReverse because it gives consumers across the United States convenient access to our first product in the market,” said Kubi Turkmen, Founder and CEO of AgeReverse. “We are building AgeReverse around a comprehensive view of healthy aging, and RESURGE represents the internal wellness component of that larger vision.” AgeReverse developed RESURGE around the scientific concept of the 12 Hallmarks of Aging, a framework used by researchers to describe interconnected biological processes associated with aging. Rather than focusing on a single ingredient or isolated wellness benefit, the company designed RESURGE as a multi-ingredient formulation intended to support multiple aspects of healthy aging and everyday wellness. The 90-capsule formulation combines ingredients including NMN, Resveratrol, Quercetin, Fisetin, CoQ10, Astragalus Extract, Hyaluronic Acid, Aronia Extract and Noni Berry into a simplified three-capsule daily regimen. Key features and benefits of RESURGE include: Designed to support all 12 Hallmarks of Aging through a comprehensive longevity-focused formulation Combines ingredients including NMN, Resveratrol, Quercetin, Fisetin, CoQ10, Astragalus Extract, Hyaluronic Acid, Aronia Extract, and Noni Berry Provides antioxidant support to help protect cells from oxidative stress and free radical damage Supports nutrient metabolism and overall cellular health Helps support cardiovascular health and immune system function Supports collagen formation, connective tissue development, and skin quality Helps maintain healthy joints, cartilage, bones, gums, and connective tissue Includes herbal ingredients traditionally used as capillary and blood vessel protectants Consolidates what the company describes as 15+ supplement protocols into a simplified 3-capsule daily routine Manufactured in GMP-certified facilities in Ontario, Canada using vegan capsules Registered as a Natural Health Product with Health Canada The Amazon availability also advances a broader AgeReverse strategy that extends beyond nutritional wellness. The company is developing a complete range of healthy aging products and technologies intended to address both internal wellness and external skin aging. The planned AgeReverse product range includes a Bioage Test, daily skincare products developed around the 12 Hallmarks of Aging, professional mesotherapy products for the medical aesthetics and medspa markets, and non-invasive mesotherapy technology designed to deliver skincare formulations without needles. “Our vision has always extended beyond one product,” Turkmen added. “We believe healthy aging should be approached from both inside and outside the body. RESURGE gives U.S. consumers an introduction to that philosophy, and Amazon gives us an important channel for building awareness and accessibility as the AgeReverse product range grows.” AgeReverse is positioning its expanding portfolio around a science-first philosophy aimed at men and women interested in longevity, healthy aging, cellular wellness and maintaining vitality as they age. The company plans to serve both consumers and professionals in the medical aesthetics market as additional products are introduced. RESURGE is now available to U.S. consumers on Amazon. AgeReverse plans to continue expanding its product range and U.S. presence as additional products become available. Visit the AgeReverse Website and follow the company on Instagram and LinkedIn.
